This Preliminary Information Form has been prepared pursuant to Law No. 6502 on the Protection of Consumers ("CPL") and the Distance Contracts Regulation ("Regulation"), for the purpose of informing the Buyer prior to the establishment of a distance sales contract.
2. SUBJECT OF THE CONTRACT
The subject of this Preliminary Information Form is the informing of the Buyer prior to the establishment of a distance sales contract for robotic systems, mechatronic and electronic hardware, robotic grippers, mechanical and electronic components, control modules, products containing software or firmware, and related spare parts and accessories ordered electronically by the Buyer through www.minervadynamics.net.
3. INFORMATION REGARDING THE BUYER'S LEGAL STATUS
3.1. Products offered by the Seller are products that by their nature require technical knowledge, assembly, system compatibility and a specific usage discipline, and are mostly used for industrial or semi-industrial purposes.
3.2. The Buyer acknowledges that in the event the product is acquired for commercial or professional purposes, the Buyer may not have consumer status within the scope of Article 3 of the CPL; and that in such case, the provisions of the Turkish Code of Obligations and the Turkish Commercial Code may apply to the contractual relationship.
3.3. Whether the Buyer has consumer status shall be evaluated separately for each specific case, based on the purpose and method of the purchase. The presentation of this Preliminary Information Form does not mean that the Buyer is in all cases accepted as a consumer.
4. ESSENTIAL CHARACTERISTICS AND CONDITIONS OF USE OF PRODUCTS
4.1. The essential characteristics, technical specifications, areas of use, compatibility requirements and limitations of the products are specified in detail on the relevant product page, in technical documents and in the usage instructions.
4.2. The performance and efficiency of the products may vary depending on factors outside the Seller's control, such as:
The machine, system or software infrastructure used by the Buyer,
The method of installation and assembly,
Environmental conditions,
Integration with hardware or software belonging to third parties
4.3. The Seller does not guarantee absolute compatibility of the products with the Buyer's specific usage scenario or with systems belonging to third parties.
5. SALES PRICE AND PAYMENT INFORMATION
5.1. The sales price of the products is the price communicated to the Buyer electronically at the time the order is placed.
5.2. Taxes included in or excluded from the sales price, and any additional charges if applicable, are displayed to the Buyer in a clear and understandable manner prior to the order.
5.3. Upon order confirmation, the Buyer becomes obligated to pay the total price communicated.
6. DELIVERY AND PERFORMANCE
6.1. Products are delivered to the address provided by the Buyer at the time of order, within the stated period.
6.2. The delivery period may vary depending on the stock availability of the product, the production or supply process, and logistics conditions.
6.3. The Buyer is obliged to inspect the product upon delivery; apparent defects must be reported to the Seller immediately.
7. RIGHT OF WITHDRAWAL AND STATUTORY EXCEPTIONS
7.1. A Buyer with consumer status may exercise the right of withdrawal within 14 days from the delivery of the goods, pursuant to the provisions of the Regulation.
7.2. However, pursuant to Article 15 of the Regulation, the right of withdrawal cannot be exercised for:
Products manufactured or customized according to the Buyer's special requests,
Products that have been installed, assembled or integrated into a system,
Products containing software, firmware or licenses where performance has commenced,
Products that by their nature cannot be technically separated once combined with other products
7.3. For the right of withdrawal to be validly exercised, the technical integrity of the product must have been preserved.
8. DEFECTIVE GOODS AND LIABILITY REGIME
8.1. In the event that the Buyer has consumer status and the product is claimed to be defective, the provisions of the CPL regarding defective goods shall apply.
8.2. The Seller cannot be held responsible if the defect claim arises from:
Use of the product contrary to usage instructions,
Unauthorized intervention or modification,
Improper system integration
8.3. The Seller's legal liability is in all cases limited to the sales price of the product.
9. DISPUTE RESOLUTION
Buyers with consumer status may apply to Consumer Arbitration Committees or Consumer Courts within the statutory monetary limits.
10. ACCEPTANCE
By approving this Preliminary Information Form electronically, the Buyer acknowledges that they have read and understood its contents and that the necessary information has been provided to them.
